1. Allgemeine Geschäftsbedingungen für Endkunden der IPROJEX GmbH (Deutschland / EU)
    • 1 Geltungsbereich

    Diese Allgemeinen Geschäftsbedingungen gelten für alle Verträge zwischen der IPROJEX GmbH und Verbrauchern (§ 13 BGB), die über unsere Website oder sonstige Fernkommunikationsmittel abgeschlossen werden.

    • 2 Vertragsschluss

    (1) Die Darstellung der Produkte stellt kein rechtlich bindendes Angebot dar.
    (2) Der Vertrag kommt zustande durch Bestellbestätigung oder Versand der Ware.

    • 3 Preise und Zahlung

    Alle Preise verstehen sich inklusive gesetzlicher Mehrwertsteuer zzgl. Versandkosten.
    Zahlungsarten werden im Bestellprozess angezeigt.

    • 4 Lieferung

    Lieferzeiten sind unverbindlich, sofern nicht ausdrücklich als verbindlich gekennzeichnet.
    Teillieferungen sind zulässig, sofern zumutbar.

    • 5 Widerrufsrecht

    Verbrauchern steht das gesetzliche Widerrufsrecht zu.
    Ausgenommen vom Widerruf sind:

    • versiegelte Waren, die aus Hygiene- oder Sicherheitsgründen nach Öffnung nicht zur Rückgabe geeignet sind (z. B. Wärmeleitpasten, Flüssigmetall),
    • geöffnete oder benutzte Verbrauchsmaterialien.
    • 6 Gewährleistung

    Es gelten die gesetzlichen Gewährleistungsrechte.
    Keine Gewährleistung besteht bei Schäden durch:

    • unsachgemäße Anwendung,
    • Nichtbeachtung von Produkt- oder Sicherheitshinweisen,
    • Nutzung außerhalb der vorgesehenen Spezifikation.
    • 7 Haftung

    (1) Wir haften unbeschränkt bei Vorsatz und grober Fahrlässigkeit.
    (2) Bei einfacher Fahrlässigkeit nur bei Verletzung wesentlicher Vertragspflichten und begrenzt auf den vorhersehbaren Schaden.
    (3) Keine Haftung für:

    • System- oder Folgeschäden an Hardware,
    • Nichterreichen bestimmter Temperatur- oder Leistungswerte.
    • 8 Technische Produkte / Liquid Metal

    Produkte wie Wärmeleitpasten, Graphen-Sheets oder Flüssigmetall sind technische Spezialprodukte.
    Flüssigmetall ist elektrisch leitfähig und reaktiv.
    Die Anwendung erfolgt auf eigenes Risiko.

    • 9 Schlussbestimmungen

    Es gilt deutsches Recht.
    Gerichtsstand ist – soweit zulässig – Hamburg.

    Consumer Terms and Conditions (B2C)

    of IPROJEX GmbH

    • 1 Scope of Application

    These Consumer Terms and Conditions apply to all contracts concluded between IPROJEX GmbH, Hamburg, Germany (hereinafter referred to as “IPROJEX”) and consumers within the meaning of Section 13 of the German Civil Code (BGB), which are concluded via the IPROJEX website or other means of distance communication.

    • 2 Conclusion of Contract

    (1) The presentation of products on the website does not constitute a legally binding offer but an invitation to submit an order.

    (2) By placing an order, the customer submits a binding offer to conclude a purchase contract.

    (3) The contract is concluded upon order confirmation by IPROJEX or, at the latest, upon dispatch of the goods.

    • 3 Prices and Payment

    (1) All prices stated are final prices and include the applicable statutory value-added tax (VAT), unless otherwise stated.

    (2) Shipping costs and any additional charges will be displayed separately during the ordering process.

    (3) The payment methods available to the customer are indicated during the checkout process.

    • 4 Delivery

    (1) Delivery shall be made to the delivery address specified by the customer.

    (2) Delivery times stated are non-binding unless expressly agreed otherwise.

    (3) Partial deliveries are permissible insofar as they are reasonable for the customer.

    • 5 Right of Withdrawal

    (1) Consumers are entitled to a statutory right of withdrawal in accordance with applicable consumer protection laws.

    (2) The right of withdrawal does not apply to:

    • sealed goods which are not suitable for return for reasons of hygiene or safety once the seal has been removed after delivery, in particular thermal pastes, liquid metal products and other consumable thermal interface materials;
    • goods which have been opened, used or irreversibly altered after delivery.

    (3) Detailed information regarding the right of withdrawal, including the withdrawal period and procedure, is provided separately in the statutory withdrawal notice.

    • 6 Warranty

    (1) The statutory warranty rights apply.

    (2) Warranty claims shall be excluded if defects or damages are caused by:

    • improper or incorrect use,
    • failure to observe product instructions, warnings or application guidelines,
    • use of the product outside its intended or specified application.
    • 7 Liability

    (1) IPROJEX shall be liable without limitation in cases of intent and gross negligence.

    (2) In cases of slight negligence, IPROJEX shall only be liable for the breach of essential contractual obligations (cardinal obligations) and shall be limited to the foreseeable, typically occurring damage.

    (3) Any liability for indirect or consequential damages is excluded, in particular for:

    • damage to CPUs, GPUs, mainboards or other hardware components,
    • system failures, data loss or loss of use,
    • failure to achieve specific temperature, cooling or performance values.

    (4) The above limitations of liability shall not apply to claims arising from injury to life, body or health or under mandatory product liability laws.

    • 8 Technical Products and Liquid Metal

    (1) Products such as thermal pastes, phase-change materials, graphene sheets and liquid metal products are technical specialty products.

    (2) Liquid metal is electrically conductive and chemically reactive and is not suitable for all surfaces or applications.

    (3) The customer acknowledges that the use of liquid metal and similar high-risk thermal interface materials is carried out at the customer’s own risk.

    (4) IPROJEX assumes no liability for damages resulting from incorrect application, incompatibility with materials or insufficient technical knowledge of the user.

    • 9 Retention of Title, Applicable Law, Language, Final Provisions

    (1) The delivered goods shall remain the property of IPROJEX GmbH until full payment of the purchase price has been received.

    (2) These Consumer Terms and Conditions shall be governed by the laws of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

    (3) If the consumer has their habitual residence outside Germany, mandatory consumer protection provisions of the country of residence shall remain unaffected.

    (4) Should individual provisions of these Consumer Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.

    (5) These Consumer Terms and Conditions are provided in German and English.
    In the event of discrepancies or inconsistencies, the German version shall prevail.
